Terms and Conditions

  1. These terms
    1. The website www.worksimplr.com (the “Platform”) is an online platform that connects people who need a job doing (“Job Posters”) with people who can provide those services (“Service Providers”).
    2. The Platform is owned and operated by Work Simplr Ltd (“Simplr”, “we”, “us”, or “our”), a limited company registered in England and Wales under company number 11490879. Our registered office address is at Suite 2a Blackthorn House, St Pauls Square, Birmingham B3 1RL. If you have a query or would like to speak to us about these terms, please contact us by email at support@worksimplr.com.
    3. These terms apply to all services provided or arranged by us to Job Posters and/or to Service Providers (“Simplr Services”). The actual job done by Service Providers (“Job”) will be the subject of a separate agreement between the Job Poster and the Service Provider. We are not responsible for delivering or carrying out Jobs.
    4. In these terms “you” refers to Job Posters and/or Service Providers (as appropriate).
    5. Please read these terms carefully to ensure you understand them. By creating an account on the Platform, you are agreeing to these terms. The terms between Simplr, Job Posters and Service Providers may be varied at any time by us posting amended terms on the Platform. The terms which will apply to any Job will be those terms in force at the time the Job is posted on the Platform.
    6. These terms relate to your use of the Platform once you have created an account but do not relate to your use of the website otherwise (our website terms of use can be viewed here). Please also see our Privacy Notice for information about how we collect and use your personal data and for information about cookies.
  2. Creating your account
    1. To use the Simplr Services, you will be required to register and create an account on the Platform which will form the basis of your profile (“Profile”).
    2. To create an account you must:
      1. be at least 18 years of age;
      2. be eligible to work in the United Kingdom.
    3. To create an account you will be required to create a username and submit specific information including your name, date of birth, email address, telephone number, residential address and passport number. This information will be used to verify your identity. The verification process is carried out via a service licensed to us and by agreeing to these terms you also agree to us processing your information as is necessary to enable us to verify your identity.
    4. All the information you provide when creating your account must be truthful and accurate. You will be required to create a password and you should take care that your password is protected at all times. The protection of your password is your responsibility and you are solely responsible for the unauthorised use of your password or unauthorised access to your account. We may suspend or terminate your access to the Platform at any time with or without notice if we believe your account has been or may be accessed by anyone without authority to do so.
    5. Contact details included in your Profile will not be posted on the Platform. Service Providers and Job Posters must communicate via the Platform and contact details will only be disclosed once a Job has been accepted and the Service Provider and Job Poster have entered an agreement in respect of such Job.

      6. Service Providers

    6. You may be required to provide information about the type of services you are able to provide, your experience, qualifications and work history when you create your account.
    7. We reserve the right to require you to provide such information about your skills, education, qualifications and work history as we believe is necessary to enable us to provide the Simplr Services at any other time.
    8. We will review your Profile and we reserve the right to approve, decline or to ask you to amend your Profile before it is posted on the Platform.
    9. Once your Profile is approved it will be posted to the Platform and will be publicly available to all users of the Platform other than your contact information.
    10. You are responsible for the accuracy of all information in your Profile.
    11. We are under no obligation to offer you Jobs and you are under no obligation to carry out Jobs or use the Simplr Services. Both Simplr and all Service Providers expressly agree that the contract between them created under these terms is a contract for services and not an employment contract. As a Service Provider, you are free to provide services to clients or customers not discovered via the Platform.

      12. Job Posters

    12. You must create an account before you post a Job on the Platform.
    13. If you do not intend to be a Service Provider as well as a Job Poster you will not be required to provide the information referred to in clause [2.6] above when you create an account but you may do so at a later time.
  3. Jobs – posting and accepting
    1. Once you have created an account you may post a Job on the Platform.
    2. As a Job Poster, you must provide all relevant details of the Job that a Service Provider needs to enable them to assess whether or not they are interested in or capable of carrying out the Job. The details provided by the Job Poster must include, as a minimum, the following:
      1. Description of services required;
      2. Purpose of service;
      3. Skill-set required for the Job;
      4. Proposed payment amount (e.g. hourly rate or single fixed fee);
      5. Location (e.g. at the Job Poster’s premises or Service Provider can provide services remotely);
      6. Timescales;
      7. Additional benefits and expenses (e.g. on-premises food, travel expenses, reimbursement for materials.
    3. We may require you to provide additional or amended information before a Job is listed on the Platform.
    4. As a Job Poster, you are responsible for ensuring all details regarding a Job are accurate, up-to-date and not misleading in any way. We reserve the right to remove a Job from the Platform at our discretion.
    5. As a Service Provider, you may contact a Job Poster in respect of a Job via the Platform. When contacting a Job Poster, you may ask for further information about the Job and/or provide them with a quote and additional information about yourself and your services that is not available on your Profile.
    6. A Job Poster is not bound to accept any quote or offer from the Service Provider and the Job Poster and Service Provider may continue to communicate until they have agreed commercial terms for the Job, including the Service Provider’s fee for the Job (“Service Provider Fee”), the nature of the services to be provided and timescales.
    7. An agreement in respect of a Job will only come into force once both the Job Poster and a Service Provider are satisfied with the applicable commercial terms and have agreed to be bound with such terms via the Platform.
    8. The terms of the agreement between a Job Poster and a Service Provider in respect of a Job will be comprised of the terms agreed between the Job Poster and Service Provider through their communications via the Platform and the standard Simplr Job terms (as set out at the end of these terms) (“Job Agreement”).
    9. Once the Job Agreement has been entered into, we will send confirmation to the Job Poster and the Service Provider along with a copy of the Job Agreement.
    10. The Job Agreement applies between the Job Poster and the Service Provider. We are not a party to the Job Agreement and we will not be liable to the Job Poster or the Service Provider or any third party for any breach of the Job Agreement by either party or otherwise in relation to the Job.
    11. If you are a Service Provider and you are resident in the UK under a Tier 4 student visa, the aggregate number of hours you are permitted to spend working on any one Job or number of Jobs will be limited by Simplr to 20 hours per week (or such other amount of time as Simplr may in its absolute discretion determine).
  4. Jobs – payment, fees and cancellation
    1. The Job Poster must authorise payment of the full amount of the Service Provider Fee and our fee at the time the Job is accepted and the Job Poster and Service Provider have agreed to enter into the Job Agreement.
    2. Our fee will be 2% of the Service Provider Fee for the Job (“Simplr Job Fee”). The Simplr Job Fee is payable by the Job Poster not the Service Provider. We may revise the rates of our Simplr Job Fee from time to time. Any change to our rates will be notified to you by email and via the Platform from time to time and the Simplr Job Fee will be at the rate that applies at the time the Job Agreement is formed.
    3. The Job Poster must make the relevant payment to us via our payment processor.
    4. A Job can only be accepted and a Job Agreement completed once the relevant payment has been processed and we are in receipt of the payment in full (including our fee).
    5. We will hold all payments received in respect of a Job until that Job has been completed. Both the Job Poster and the Service Provider must confirm the Job has been completed via the Platform as soon as possible and in any event no more than five days after it has been completed. Upon confirmation from both parties, we will release payment into the Service Provider’s Simplr Wallet (see below) having first deducted the Simplr Job Fee payable to us by the Job Poster.
    6. We are authorised by Job Posters and Service Providers to receive, hold, release, deduct fees or otherwise process all relevant payments in respect of a Job in accordance with these terms. We shall not be liable to process, transfer, remit or refund any amounts that may be agreed between the Job Poster and Service Provider or paid in respect of a Job (including, without limitation, any cash payments) other than the Service Provider Fee and Simplr Job Fee processed through the Platform.
    7. The Job Poster shall have the right to cancel a Job Agreement in accordance with the cancellation policy in the terms of the Job Agreement. Simplr shall process refunds of the Service Provider Fee on behalf of a Service Provider in accordance with the terms of that policy but Simplr retains the right to amend the Job Poster’s account rating at Simplr’s discretion if they do cancel a Job Agreement.
    8. The Service Provider shall only cancel a Job after they have entered into a Job Agreement due to circumstances beyond their control. Simplr retains the right to amend the Service Provider’s account rating at Simplr’s discretion if they do cancel a Job Agreement.
  5. Jobs – obligations of Job Posters and Service Providers
    1. The Service Provider must provide the services in respect of a Job in accordance with the terms of the Job Agreement including, without limitation, all terms relating to timescales.
    2. You, the Service Provider must:
      1. provide services and carry out Jobs with all reasonable skill and care;
      2. ensure that all materials used in or on Jobs are of the highest quality and appropriate for the relevant Job;
      3. ensure that all information about you on your Profile is true and accurate in all respects and could not in way be construed as misleading to a Job Poster;
      4. deal with all Job Posters in a professional and courteous manner and in such a way as to not cause any harm or damage to our reputation;
      5. deal with all queries from Job Posters relating to a Job in a prompt and satisfactory manner;
      6. subject to clause 9, use your best endeavours to settle any disputes that may arise in relation to a Job including taking such action as is necessary to bring the dispute to a satisfactory conclusion as soon as practicable.
  6. You, the Job Poster must:
      1. act with suitable consideration for the Service Provider and not act in any way which is offensive, rude or illegal;
      2. if the Job is provided at property or on premises for which you are responsible, provide a safe, suitable and reasonable working environment in which the Job can be carried out;
      3. provide us with accurate information and ensure that all details that we hold about you (including your email address) are up to date and valid;
      4. not deal with the Service Provider in any way which could be deemed to be harmful to our business or reputation or do anything which might adversely affect our relationship with a Service Provider.
    2. You must not use the Platform in any way, whether as a Job Poster or Service Provider, in respect of the following:
      1. Escort, prostitution or other sex-related services;
      2. Gambling related products or services;
      3. Any services that are illegal or that Simplr, at its absolute discretion , considers unethical or immoral or that may otherwise cause damage to Simplr’s goodwill or reputation.
  7. Simplr Payment Plan
    1. By registering an account and entering into Job Agreements, the Service Provider authorises us to receive all fees owed to them by Job Posters on the Service Provider’s behalf.
    2. We shall hold all amounts received from Job Posters until both the Service Provider and the Job Poster have confirmed that the Job has been satisfactorily completed. Subject to clause 9 (Complaints and disputes), upon completion of the Job, all fees in respect of that Job will be credited to the Service Provider’s Simplr Wallet.
    3. Every seven days, we will release the funds standing to the credit of the Service Provider’s Simplr Wallet having first deducted our commission payable by the Service Provider in line with the rates sets out in the Simplr Payment Plan as posted on the Platform from time to time. (For the avoidance of doubt, our commission will be determined by reference to the Service Provider Fees credited to the Service Provider’s Simplr Wallet and the Simplr Job Fee payable by Job Posters shall not be taken into account in such calculation.)
  8. Approvals and Consents
    1. By registering with us as a Service Provider and listing yourself, your qualifications and your services on the Platform you are confirming that you have all necessary approvals and consents (including all necessary licences and regulatory requirements) to be able to carry out any services in respect of all relevant Jobs.
    2. You agree to notify us immediately if you cease to hold any approvals and consents that you have listed in your Profile or which are otherwise necessary to enable you to validly provide services. Following any such notice we reserve the right to terminate your account and remove your Profile from the Platform immediately.
    3. You agree that we shall not be liable to you in any way whatsoever if you suffer any loss as a result of any person bringing proceedings against you in connection with a Job.
  9. Complaints and disputes
    1. Job Posters and Service Providers agree that if they have any dispute or complaint with the other in respect of a Job then they will attempt to resolve it in the first instance by directly communicating with each other.
    2. In the event that a dispute cannot be resolved between the Job Poster and Service Provider directly within five working days then either may refer the matter to us or make a complaint. You authorise us to deal with the dispute or complaint as we see fit and you agree to abide by any decisions we may make in such circumstances which may include a Service Provider being required to refund any payments received or a Job Poster having to pay additional amounts in respect of a Job.
    3. If you refer a dispute or complaint to us we will review, manage and resolve the matter in accordance with the Simplr Dispute Resolution Procedure (details of which can be viewed here) but we reserve the right to refer the matter to a third party mediator, adjudicator or arbitrator (at our discretion) and the parties agree to abide by the decision of any such third party.
    4. If a Job Poster makes a complaint before fees are released to a Service Provider’s Simplr Wallet then we reserve the right to withhold the Service Provider Fees pending resolution of the complaint. Service Providers authorise us to refund some or all of the Service Provider Fees we are holding in respect of a Job if we believe that a complaint from a Job Poster is reasonably substantiated.
    5. Service Providers agree that we may use any funds we are holding on your behalf in order to settle a dispute with a Job Poster and that we are authorised to deduct sums from a Simplr Wallet in order to settle a dispute with a Job Poster.
  10. Termination
    1. You or we may terminate this agreement at any time but upon termination you agree to honour the terms of any Job Agreements in respect of Jobs that have not been carried out or completed.
    2. From the date of termination we will not confirm or accept any new Jobs but these terms will continue in respect of those Jobs that remain outstanding (subject to clause 10.6).
    3. In the event that this agreement is terminated while any fees or charges whatsoever are outstanding to us then you must pay all outstanding fees or charges to us immediately without set-off or deduction.
    4. We will be entitled to terminate this agreement and close your account immediately if:
      1. we receive one or more substantiated complaints from Job Posters; or
      2. you are in material breach of any of these terms or the terms of a Job Agreement; or
      3. you do anything to put our goodwill or reputation at risk; or
      4. you refuse to cooperate with us in respect of this agreement.

        5. If any bookings are outstanding on termination by us under this clause 10.4 then clause 10.6 will apply.

    5. In the event of termination the terms of this agreement will continue in full force, so far as such terms relate to current or outstanding Jobs or the consequences of any previous Jobs (including terms relating to fees, liability and damage).
    6. In the event that:
      1. this agreement is terminated by you under clause 10.1 and existing Jobs cannot be satisfied; or
      2. this agreement is terminated by us under clause 10.4 while there are existing Jobs to satisfy;

        3. then you will be fully liable to us and to any Job Posters with whom you have entered a Job Agreement for all associated costs, charges, damage and liability which we or the Job Poster may incur as a result and you agree to indemnify us and the Job Posters on a continuing basis in respect of any such cancelled Job.

  11. Insurance and tax
    1. Service Providers will be entirely responsible for any and all insurance that they may require for the purposes of providing their services in respect of Jobs.
    2. If insurance is a statutory or regulatory requirement for any service you are providing you must have such insurance in place and to the necessary level of cover or to a level of cover consistent with best practice in the relevant industry or profession.
    3. You must provide us with any evidence in respect of your insurance that we may reasonably request but Simplr is not responsible for ensuring a Service Provider has insurance in place and will not be liable to a Job Poster in any way if a Service Provider does not have the necessary insurance cover in place (including having no cover at all, an inadequate level of cover or a policy that does not cover the relevant services).
    4. You shall be responsible for all taxation liabilities wherever they arise in the World in respect of fees or other monies paid to or received by you under or in relation to a Job Agreement, these terms or otherwise in relation to the Platform.
    5. You shall indemnify Simplr against all losses, claims, demands, awards, penalties, interest and expenses incurred by Simplr in respect of such taxation liabilities.
  12. Your liability
    1. You will be liable to us for any loss or damage we may suffer or incur in respect of any breach by you of these terms howsoever caused.
    2. You agree to indemnify us for any loss or damage we may suffer or incur as a result of any Job Poster or Service Provider or other third party bringing a claim against us or taking any action against us whatsoever as a result of:
      1. your breach of these terms; or
      2. the provision by you of any information that is untrue, inaccurate or incomplete; or
      3. your breach of any Job Agreement; or
      4. your actions in relation to any Job including any act or omission by you in relation to a Job.
    3. You should be aware that you may also be liable to a Job Poster or Service Provider (as the case may be) for loss or damage they may suffer or incur as a result of:
      1. your breach of the Job Agreement; or
      2. your actions in relation to any Job including any act or omission by you in relation to a Job.
  13. Our Liability
    1. We do not make any warranties or guarantees in relation to the accuracy or truthfulness of the description of a Job or the information provided to you by a Service Provider or Job Poster (as relevant) via the Platform, and we are not responsible for the quality, timeliness or value of any service provided to you by a Service Provider.
    2. We will not be liable to you in the event of a claim by a Job Poster or a Service Provider against you and, for the avoidance of doubt, we shall not be required to return any money received by us under these terms to either you or any other party in such circumstances save that we may be liable to you if such a claim arises due to our negligence.
    3. We will not be liable to you for any business, financial or economic loss or for any consequential or indirect loss such as loss to reputation, lost bargain, lost profit, loss of anticipated savings or lost opportunity arising as a result of any services we provide to you under, or in any other way connected with, this agreement (whether suffered or incurred as a result of our negligence or otherwise) except in the case of any fraud, wilful concealment or theft on the part of Simplr or its officers, agents or staff.
    4. Our liability to you for all losses under this agreement (subject to any liability in accordance with clause 17.6 below) is capped at the total amount of fees paid or received by you in respect of all Jobs facilitated by the Platform.
    5. If you are a Service Provider and you are resident in the UK under a Tier 4 student visa, we will not be liable for any loss or damage caused by a breach of the terms of your visa which may result from or is in any way connected with your use of the Platform or the Simplr Services.
    6. Nothing in this agreement limits or excludes our liability for death or personal injury arising as a result of our negligence or the negligence of our employees, agents or self-employed contractors or for fraud or fraudulent misrepresentation.
  14. Data Protection
    1. We agree to comply with our obligations under all applicable laws and regulations relating to data protection and privacy as may be applicable from time to time, which at the date of these terms means the Data Protection Act 1998 and the GDPR (EU General Data Protection Regulation 2016/679) and any successor legislation (“Data Protection Legislation”).

  15. Confidentiality
    1. All parties agree not to divulge or allow to be divulged any confidential information relating to another party’s business or affairs other than to its employees, associates or contractors (if any) who are subject to appropriate non-disclosure undertakings (if required), or where the other party has consented to such disclosure or where required by law to make such disclosure.
    2. Either party may upon termination of this agreement require by notice in writing to the other party the destruction or return of any confidential material in that party’s possession or control. The confidentiality obligation set out here shall expire 3 years after the expiry or termination of the agreement.
  16. General
    1. Each of the parties warrants its power to enter into the agreement and that it has obtained all necessary approvals to do so.
    2. By entering into this agreement you also agree to our website terms of use and our privacy notice, both of which are available via the Platform.
    3. Service Providers, Job Posters and Simplr operate as independent entities. Nothing in these terms shall be taken as creating a relationship of employer to employee, partnership, joint venture or any other relationship of a similar nature and Simplr shall only act as agent for Job Posters or Service Providers for the limited purposes of facilitating them entering into Job Agreements and processing payments as stated in these terms.
    4. You shall have no authority to commit Simplr to any legally binding commitments or contracts or to interfere in the running of Simplr’s affairs or business.
    5. Any notice to be served under these terms shall be sent by pre-paid recorded delivery, registered post or email via the contact details provided at the beginning of these terms or such other physical or electronic address as may be notified by one party to the other.
    6. No term of the Agreement will be enforceable by virtue of the Contract (Rights of Third Parties) Act 1999 by any person that is not a party to it.We will be entitled to assign or sub-contract our obligations under this agreement.
    7. We will be entitled to assign or sub-contract our obligations under this agreement.
    8. If any provision of this agreement is, or is found to be, illegal, invalid or unenforceable, the remaining provisions shall continue in full force and effect and shall not be affected by such illegality, invalidity or unenforceability.
    9. Failure by us to enforce at any time or for any period any one or more of the terms of conditions of this agreement shall not be a waiver by us of them or the right at any time subsequently to enforce all terms of this agreement.
    10. This agreement shall be governed by English law in every particular including formation and interpretation and shall be deemed to have been made in England.
